Terms & Conditions

1. Introduction

Welcome to UpliftMyBiz (“we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your use of our website and services. By accessing our Site or engaging our services, you (“Client”) agree to these Terms. Our services include Full-Stack Marketing Management, Lead Automation & Qualification, and Customised Automation Solutions.

2. Services and Scope of Work

a) Full-Stack Marketing Management

Ongoing monthly service including social media management, video creation, scheduling, and campaign execution. This service is billed monthly in advance.

b) Lead Automation & Qualification

Setup of automated lead funnels, scoring systems, CRM integrations, notifications, and messaging workflows. Clients are responsible for all API/platform fees required (WhatsApp API, email tools, CRM, etc.).

c) Customised Automation Solutions

Automation of any manual process, including internal workflows, onboarding, scheduling, admin tasks, and reminders. All third-party API and software fees must be paid by the Client.

Deliverables and timelines are defined in the proposal. Any additional work beyond the agreed scope will incur extra charges.

3. Client Obligations

The Client agrees to:

  • Provide timely access to required accounts (Google, Meta, CRM, WhatsApp, email).
  • Approve content and automation workflows within agreed timelines.
  • Ensure all API, subscription, and platform fees are paid and active.
  • Provide accurate business information needed for the project.

Delays in providing information will delay delivery timelines automatically.

4. Fees, Payment, and Invoicing

  • Project-Based Services (Automations): 50% upfront (non-refundable) and 50% on completion before delivery.
  • Monthly Marketing Services: Billed monthly in advance. No refunds for monthly payments.
  • API Fees: All third-party API and tool fees are the Client’s responsibility.
  • All payments are non-refundable under all circumstances.
  • Late payments may pause service delivery.

5. Deliverables

Deliverables depend on the service selected and may include automation workflows, content, videos, mapping documents, CRM integrations, reports, dashboards, and system builds. Additional revisions outside scope will be billed separately.

6. Confidentiality

Both parties agree to keep all shared information confidential, including business processes, credentials, data, and strategies. This duty continues even after the engagement ends.

7. Intellectual Property

  • All systems, workflows, templates, and materials created by UpliftMyBiz remain our IP until full payment.
  • After full payment, the Client receives a non-exclusive license to use the final assets.
  • Client-provided materials remain the Client’s property.

8. Limitation of Liability

We are not liable for losses including revenue, leads, business opportunities, or issues caused by third-party platforms (WhatsApp API, Meta, Google, CRM failures). Our total liability is limited to the fees paid for the specific service.

9. Term and Termination

  • Project-based services end once deliverables are completed.
  • If the Client terminates early, all work completed must be paid for.
  • Monthly services require 30-day notice to cancel.
  • No refunds for any payments made.

10. Dispute Resolution & Governing Law

  • Both parties agree to resolve disputes through good-faith discussion first.
  • These Terms are governed by Australian law.

11. Amendments

We may revise these Terms at any time. Updated versions will be posted with a revised “Last Updated” date.
