1. Introduction
Welcome to UpliftMyBiz (“we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your use of our website, `upliftmybiz.com` (the “Site”), and the provision of our professional services. By accessing our Site or engaging our services, you (the “Client”) agree to be bound by these Terms and our Privacy Policy. Please read them carefully.
2. Services and Scope of Work
UpliftMyBiz provides specialized B2B consulting services for small and medium-sized businesses, which may include, but are not limited to, business assessments, strategic planning, process optimization, Standard Operating Procedure (SOP) development, and growth advisory (“Services”).
The specific deliverables, timelines, and scope for any engagement will be detailed in a formal Proposal or Service Agreement provided to you. Our Services are advisory in nature, and implementation of our recommendations remains the Client's responsibility unless explicitly included in the scope of work.
3. Client Obligations
To ensure the successful delivery of our Services, you agree to:
- Provide timely access to all necessary information, data, documents, and key personnel.
- Cooperate with us by adhering to agreed-upon timelines for feedback, reviews, and approvals.
- Appoint a primary contact person to streamline communication and decision-making.
- Take all reasonable steps to implement the recommendations and strategies provided.
4. Fees, Payment, and Invoicing
- Quotation: All fees for Services will be quoted in the currency specified in the Service Agreement and are exclusive of any applicable taxes (such as GST, VAT, etc.), which will be added to the invoice where required.
- Payment Terms: Payment terms will be specified in the Service Agreement, typically requiring an advance payment or deposit to commence work, with the balance due before the final delivery of materials.
- Deposits: Any advance or deposit paid is non-refundable once the engagement has commenced.
- Late Payments: We reserve the right to charge interest on overdue invoices at a rate of 1.5% per month or the maximum rate permitted by law. We may also suspend work or withhold deliverables until overdue payments are received.
5. Deliverables and Reports
Deliverables may include, but are not limited to, assessment reports, strategic frameworks, process documents, SOP templates, dashboards, and summary presentations. Any work, revisions, or support requested outside the agreed-upon scope may be subject to additional charges.
6. Confidentiality
Both UpliftMyBiz and the Client (“the Parties”) agree to maintain the confidentiality of all proprietary or sensitive information shared during the engagement. This includes business processes, financial data, client lists, and strategies. This obligation of confidentiality shall survive the termination of our engagement. We will not use your name in case studies or testimonials without your prior written consent.
7. Intellectual Property
- Our IP: All methodologies, templates, proprietary processes, and materials developed by UpliftMyBiz before or during the engagement remain our exclusive intellectual property.
- Your License: Upon full payment, the Client is granted a non-exclusive, non-transferable, perpetual license to use the final deliverables for internal business purposes only.
- Client IP: All pre-existing materials and data provided by you for the purpose of the engagement remain your intellectual property. We claim no ownership over your IP.
8. Limitation of Liability
Our liability in connection with any claim arising from our Services is strictly limited to the total fees paid by you for the specific Service from which the claim arises. We are not liable for any indirect, incidental, special, or consequential losses, including but not limited to loss of profits, revenue, or business opportunities. Our advice is provided in good faith based on the information available; however, ultimate business outcomes are subject to market variables and your implementation, which are outside our control.
9. Term and Termination
- Term: An engagement begins on the agreed-upon start date and concludes upon the delivery of the final agreed-upon outputs.
- Termination: Either party may terminate a Service Agreement with thirty (30) days' written notice to the other party.
- Payment on Termination: In the event of termination, you agree to pay for all work completed and expenses incurred up to the effective termination date. Any refund of fees paid will be at our sole discretion.
10. Dispute Resolution and Governing Law
- Good Faith Negotiation: The Parties agree to first attempt to resolve any dispute arising out of or relating to these Terms or our Services through amicable, good-faith negotiations.
- Governing Law: These Terms and any Service Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the signed Service Agreement.
- Jurisdiction: Any legal action or proceeding shall be brought exclusively in the courts of the jurisdiction specified in the signed Service Agreement.
11. Amendments
We reserve the right to update and modify these Terms at any time. The updated version will be posted on our Site with a "Last Updated" date. Your continued use of the Site or our Services after such changes constitutes your acceptance of the new Terms.
12. Entire Agreement
These Terms, together with any signed Service Agreement or Proposal, constitute the entire agreement between you and UpliftMyBiz and supersede all prior oral or written communications, proposals, and representations.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
